1. Introduction and Acceptance

These Master Terms & Conditions ("Terms") govern access to and use of TEXERN Pulse SportsTECH, including its website, mobile application, dashboards, services, bookings, subscriptions, marketplace features and related services operated by TEXERN Technologies Pvt. Ltd. ("TEXERN", "Company", "we", "us" or "our"). By registering, logging in, accessing, purchasing, booking, listing, subscribing to or using any part of the platform, the user ("User", "you" or "your") confirms that they have read, understood and agreed to these Terms and any applicable policies displayed on the platform.

2. Scope of the Platform

These Terms apply to:

• TEXERN Pulse SportsTECH and its player, parent/guardian, coach, club/academy administrator and other authorized logins.
• NIRRVA Café services, including lunch bookings, food orders and related services made available through Pulse SportsTECH.
• Third-party vendors onboarded on Pulse SportsTECH, including sports, medical, health, fitness and other approved product or service providers.
• All related subscriptions, payments, communications, bookings, profiles, content and platform features.

3. Account Registration and Login Security

• Users must provide accurate, current and complete information.
• Users are responsible for keeping login credentials confidential and must not share access without authorization.
• Users must promptly notify TEXERN of suspected unauthorized access or incorrect account information.
• TEXERN may suspend or restrict an account where information is misleading, activity is abusive, fraudulent or contrary to these Terms.
• Parents or legal guardians must provide required consent for minors and are responsible for supervising a minor's use of the platform.

4. TEXERN Pulse SportsTECH Terms

4.1 Player / Athlete Passport. Player profiles may include personal, academic, sports, attendance, performance, fitness and other information entered by the player, parent/guardian, coach or authorized academy. Users must ensure that information supplied is accurate and must not upload content belonging to another person without permission.

4.2 Parent / Guardian. A parent or guardian may manage a minor's profile, consent to applicable services, review relevant records, make payments and receive notifications. The parent or guardian is responsible for ensuring that the minor uses the platform appropriately.

4.3 Coach. Coaches may manage authorized batches, attendance, practice schedules, player reports, performance records and related activities. Coaches must use player information only for legitimate sports, coaching, administration and support purposes.

4.4 Club / Academy Administrator. Club or academy administrators are responsible for the accuracy of academy information, authorization of staff access, player and batch records, subscription selection, payments, bookings and compliance with applicable laws.

4.5 Sports Activities and Bookings. Practice sessions, tournaments, grounds, events and other activities are subject to availability, published pricing, schedules, eligibility requirements and cancellation rules. TEXERN may facilitate bookings but does not guarantee the quality, safety, result or continued availability of every third-party activity.

5. NIRRVA Café Terms

• NIRRVA Café is a food-service offering made available through TEXERN Pulse SportsTECH.
• Lunch options may include vegetarian and non-vegetarian menus, subject to daily availability.
• The lunch provider may be selected by the coach or parent/guardian, as enabled by the platform.
• Where a parent/guardian selects the lunch option, the applicable invitation, selection and payment process must be completed within the stated time.
• Where a coach selects the lunch option, the coach or academy is responsible for the applicable selection and payment.
• Menus, prices, quantities, delivery or serving times and availability may change due to operational or supply conditions.
• All food orders and bookings are subject to the applicable cancellation, refund and service rules displayed at the time of booking.
• Users must inform the café of relevant dietary restrictions or allergies before ordering; TEXERN and the café cannot guarantee that food is free from every allergen.

6. Onboarded Vendor Terms

• Vendors must provide accurate business, product, service, pricing, contact and compliance information.
• Vendors are responsible for the quality, legality, safety, delivery, warranty and after-sales support of their own products or services.
• Vendors must not list counterfeit, prohibited, unsafe, misleading or unauthorized products or services.
• Vendors must comply with applicable tax, consumer protection, data protection, licensing and other legal requirements.
• TEXERN may review, approve, reject, suspend or remove a vendor listing or account where necessary.
• Vendor payments, commissions, settlement timelines, cancellations and refunds will be governed by the applicable commercial arrangement and platform rules.
• TEXERN may facilitate communication and transactions but is not the manufacturer, owner, insurer or service provider of third-party vendor offerings unless expressly stated.

7. Plans, Subscriptions and Payments

• Prices, plan features, membership benefits, discounts and payment schedules will be displayed on the platform or communicated through an authorized TEXERN channel.
• A subscription or membership becomes active only after successful payment and any required verification.
• Premium or lifetime benefits are subject to the specific conditions stated at purchase and do not automatically include every future feature or third-party service.
• Users must not misuse discounts, referral benefits, promotional codes or membership privileges.
• Taxes, transaction charges and other applicable fees may be added where required.
• Refunds, cancellations and payment disputes will be handled according to the applicable booking, subscription or vendor policy.

8. Acceptable Use

• Do not use the platform for unlawful, fraudulent, abusive, threatening or misleading activity.
• Do not attempt to access another person's account, interfere with platform security or introduce harmful code.
• Do not copy, scrape, sell, reproduce or commercially exploit platform content without written permission.
• Do not upload content that infringes privacy, intellectual property, publicity or other rights.
• Do not use the platform to harass, discriminate against or endanger another person.

9. Privacy and Personal Information

TEXERN may collect and process information required to create accounts, provide services, manage sports activities, process payments, communicate with users, support vendors and improve the platform. Personal information will be handled in accordance with the applicable Privacy Policy and law. Users should provide only information necessary for the relevant service and must not upload another person's information without appropriate authority or consent.

10. Intellectual Property

The TEXERN name, logos, Pulse SportsTECH brand, software, designs, text, graphics, workflows and other platform materials are owned by or licensed to TEXERN Technologies Pvt. Ltd. Users receive a limited, non-exclusive, non-transferable right to use the platform for its intended purpose. No ownership rights are transferred to any User.

11. Third-Party Services and Disclaimers

The platform may contain third-party services, links, products, food offerings, events or vendor listings. Third-party services are subject to their own applicable terms. To the extent permitted by law, TEXERN does not guarantee uninterrupted availability, error-free operation, specific sports outcomes, medical or fitness results, food suitability, vendor performance or the accuracy of user-generated content.

12. Limitation of Liability

To the maximum extent permitted by applicable law, TEXERN will not be liable for indirect, incidental, special or consequential loss arising from use of the platform or third-party offerings. Nothing in these Terms excludes liability that cannot legally be excluded, including liability arising from fraud or other non-excludable obligations.

13. Suspension and Termination

TEXERN may suspend, restrict or terminate access where a User breaches these Terms, creates risk, fails to pay applicable charges, misuses the platform or where suspension is required for legal, security or operational reasons. Users may request account closure through the official support channel (see the account deletion page). Clauses relating to payments, confidentiality, intellectual property, liability and dispute resolution may continue after termination.

14. Changes to These Terms

TEXERN may update these Terms from time to time. Updated Terms will be posted or communicated through the platform. Continued use after the effective date of an update constitutes acceptance of the revised Terms, to the extent permitted by law.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any dispute will first be addressed through good-faith discussion with TEXERN. If unresolved, the dispute shall be subject to the jurisdiction of the competent courts at Bangalore, Karnataka, India, unless applicable law requires otherwise.

17. User Acknowledgement

By selecting "I Agree", registering, logging in, booking, purchasing, listing or otherwise using TEXERN Pulse SportsTECH, the User confirms that they have read and accepted these Terms and any applicable policies. Where the User is a minor, acceptance must be completed by the parent or legal guardian where required.
